By accessing or using the NutsXTZ website, services, or NFT collection (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and SOHAM LTD. dba Side Quest Studios ("Company", "we", "us", or "our").

3. Description of Service

The Service includes:

• Access to the NutsXTZ website and platform
• Minting, purchasing, and trading of NutsXTZ NFT tokens on the Tezos blockchain
• Staking services for NutsXTZ NFTs (when available)
• Access to NFT metadata and images stored on IPFS (InterPlanetary File System)
• Wallet connection and blockchain interaction services

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

4. NFT Ownership and Rights

4.1 Ownership of NFTs

When you purchase a NutsXTZ NFT, you own the NFT token on the Tezos blockchain. However, ownership of the NFT does not grant you:

• Ownership of the underlying artwork, image, or metadata associated with the NFT
• Any intellectual property rights in the artwork or brand
• The right to use the NutsXTZ name, logo, or branding for commercial purposes

4.2 Personal Use License

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable license to:

• Display the NFT artwork for personal, non-commercial use
• Use the NFT as a profile picture or avatar
• Resell or transfer the NFT token on compatible marketplaces

4.3 Commercial Use Restrictions

You may NOT:

• Use the NFT artwork for commercial purposes without our written permission
• Create derivative works based on the NFT artwork
• Use the NutsXTZ name, logo, or branding in connection with any products or services
• Mint, create, or sell additional NFTs using the artwork

5. Wallet Connection and Blockchain Transactions

5.1 Wallet Responsibility

You are solely responsible for:

• The security of your cryptocurrency wallet and private keys
• All transactions initiated through your connected wallet
• Verifying transaction details before confirming
• Maintaining adequate XTZ (Tezos) balance for gas fees

5.2 Transaction Risks

You acknowledge that:

• Blockchain transactions are irreversible
• We have no control over blockchain networks and cannot reverse transactions
• Gas fees are determined by network conditions and are non-refundable
• Wallet connections are facilitated by third-party services (Beacon, Temple, Kukai, etc.)

5.3 No Custody

We do not custody, store, or have access to your wallet, private keys, or funds. All wallet interactions are handled by you through third-party wallet providers.

6. IPFS and Decentralized Storage

NFT metadata and images are stored on IPFS (InterPlanetary File System), a decentralized storage network. You acknowledge that:

• IPFS content availability depends on network participation and pinning services
• We use third-party IPFS gateways and pinning services
• Content may become temporarily unavailable due to network conditions
• We make reasonable efforts to ensure content availability but cannot guarantee permanent access

7. Staking Services

If you participate in staking services:

• You understand that staking involves locking your NFTs for a specified period
• Rewards, if any, are subject to the terms of the specific staking program
• Staking terms, rewards, and conditions may change at our discretion
• You are responsible for understanding the risks associated with staking

8. User Conduct

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to hack, disrupt, or interfere with the Service or blockchain networks
• Use automated systems, bots, or scripts to interact with the Service
• Impersonate any person or entity or misrepresent your affiliation
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit viruses, malware, or harmful code

9. Intellectual Property

All content on the Service, including but not limited to:

• Website design, graphics, logos, and branding
• NFT artwork, images, and metadata
• Software code and functionality
• Text, documentation, and materials

is owned by SOHAM LTD. dba Side Quest Studios or its licensors and is protected by copyright, trademark, and other intellectual property laws.

10. Disclaimers and Limitations of Liability

10.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Blockchain Risks

You acknowledge the inherent risks of blockchain technology, including:

• Network congestion and transaction delays
• Smart contract vulnerabilities
• Market volatility and price fluctuations
• Regulatory changes affecting cryptocurrency and NFTs

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOHAM LTD. DBA SIDE QUEST STUDIOS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages arising from blockchain network issues, wallet failures, or third-party services
• NFT value fluctuations or market conditions

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless SOHAM LTD. dba Side Quest Studios, its members, managers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your wallet transactions or blockchain activities

These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought in courts of competent jurisdiction. You consent to the personal jurisdiction of such courts.

You agree that any disputes will be resolved individually and not as part of a class action or consolidated proceeding.

• Wallet Address Storage: We store your Tezos wallet address in browser local storage to enable cross-site authentication across Side Quest Studios properties (including nutsxtz.com, uncaughtxtz.com, and other affiliated sites).
• Authentication Cookies: We use cookies to maintain your authentication state and enable seamless wallet connection between our sites. When you connect your wallet on one Side Quest Studios site, this authentication information is shared with other Side Quest Studios sites to provide a unified experience.
• Authentication Tokens: We may store authentication tokens in browser local storage or cookies to maintain your login session and enable cross-site authentication.
• Session Data: We use local storage and cookies to remember your preferences, session identifiers, and other data necessary for the Service to function properly.
